Joshua Tan
Joshua Tan graduated from the University of Keele in England in 1995 with a Second Class (Upper) Honours Degree in Law/Management Science. He was admitted as a Barrister-at-Law of the Middle Temple in 1996, and obtained the LLM from King’s College, University of London in 1998. Joshua was called to the Singapore Bar in March 1999.

Prior to joining Legal Solutions LLC, Joshua was a Partner in the corporate finance department of a large Singapore firm.

Areas of Practice
Joshua’s area of practice covers corporate finance (equity capital markets i.e. initial public offerings, rights and warrants issues, placements, bonus issues; and mergers & acquisitions), corporate restructuring, general corporate and commercial, asset/fund and wealth management, and advising on securities regulations.
Experience
Some transactions which Joshua has handled in the past include:

• Secondary listing of Maruwa Co. Ltd (primary listing on the Tokyo Stock Exchange and Osaka Stock Exchange) concurrently on the Singapore Exchange Securities Trading Limited (“SGX-ST”), the Luxembourg Stock Exchange and the London Stock Exchange.

• IPO of Kingsmen Creatives Ltd., Allied Technologies Limited, Pharmesis International Ltd and ETLA Limited.

• Advised the offeror on the proposed voluntary delisting of both China Precision Technology Limited and China Lifestyle Food and Beverages Group Limited, from the SGX-ST pursuant to Rule 1307 of the Listing Manual of the SGX-ST (“Listing Manual”). China Precision was the second S-chip which became the subject of a delisting from the SGX-ST in 2009. The first was Sihuan Pharmaceutical.

• Advised Man Wah Holdings Limited as company’s counsels in its successful voluntary delisting from the SGX-ST in September 2009. The exit offer by the offeror was valued at approximately S$28 million.

• Advised the controlling shareholders of AsiaPharm Group Limited (now known as Luye Pharma Group Ltd.) on the proposed general offer by Luye Pharmaceutical Investment Co., Ltd to acquire all the issued and paid-up ordinary shares in the capital of AsiaPharm.

• Advised Serial System Ltd on its renounceable non-underwritten rights issue.

• Advised Youcan Foods International Limited on the acquisition of a property in the PRC which amounted to an interested person transaction and major acquisition pursuant to Chapters 9 and 10 respectively of the Listing Manual.

• Advised Youcan Foods International Limited on the placement of new ordinary shares in its capital to certain key employees of the Group.

• Advised Dayen Environmental Limited on the private placement of new ordinary shares in its capital, representing 51.0% of its enlarged issued and paid-up share capital, to Moya Holding BSC.

• Advised financial institutions, fund managers, venture capitalists on fund formation and applicable Singapore securities regulations, including application for capital markets services licences, financial adviser’s licences, advising on the scope and types of exemption from the licensing regime and offering restrictions etc.


Joshua was a speaker at the following conferences:

• “Asia Pacific Maritime 2008” held at the Singapore Expo in March 2008. The topic of his presentation was “The Sub-prime crisis: Impact on Financing Shipping Assets & IPOs”.

• “A Step into Globalization in IPO Listing” held at Hanoi and Ho Chi Minh in May 2008. The conference was aimed at promoting the Singapore Exchange as an IPO platform for Vietnamese companies. The Singapore delegates comprise of representatives from SGX, ICH, Ernst & Young and Shook Lin & Bok LLP.
